Version 2026-10-22-approved-4
This agreement is between LDC Business Solutions, represented by LaCordia Culp ("LDC"), and the undersigned client ("Client").
LDC will provide the services included in the selected package (Foundation):
Foundation — $300/month
• Up to five mobile-friendly website pages with tap-to-call.
• An estimate-request form with owner email notifications.
• Online estimate booking connected to the Client's calendar.
• A private staff dashboard with secure logins.
• Thirty minutes of small website edits each month.
Connect — $350/month
• All Foundation services.
• A website inquiry chatbot.
• Owner email and text notifications for new inquiries.
• Sixty minutes of small website edits each month, replacing Foundation's thirty-minute allowance.
Complete — $450/month
• All Connect services.
• Missed-call text-back on the Client's business number.
• Sixty minutes of small website edits each month.
Customer booking confirmation and reminder texts are coming soon and will be included at no extra cost once available. Until then, they are not an active deliverable.
The Client agrees to a one-time $2,000 setup fee, plus the selected monthly service fee. The initial payment includes both amounts. Applicable taxes are additional.
Monthly fees are charged automatically to the payment method provided at checkout. The monthly billing period begins with the first payment, including while setup is underway.
The $2,000 setup fee is fully refundable if the Client cancels before submitting the Technical Setup Form. Once the Technical Setup Form is submitted, the setup fee is non-refundable. Monthly fees are not partially refunded for the remaining days of a paid month.
The monthly price includes hosting, maintenance, the business phone line, domain renewal for domains LDC registers on the Client's behalf, carrier/texting registration and messaging usage, subject to fair, normal business use. Clients who already own their domain continue paying their own registrar. No unlimited-usage promise. Additional work requires a separate written quote and approval.
The project officially starts once the Client's Technical Setup Form is complete. Completing that form does not mean the website or other services are immediately live.
The Client will provide accurate business details, service descriptions, operating hours, contact information, and any necessary logos, photos, or text. The Client confirms they own supplied materials or have permission to use them.
LDC will confirm the delivery schedule after reviewing the completed form. Missing materials, unanswered questions, account setup delays, number transfers, or third-party approvals may affect delivery dates.
Where included in the selected services, LDC will invite the Client to LDC's Cal.com team and Quo workspace.
The Client will:
• Accept the applicable invitation emails.
• Connect their own calendar to Cal.com.
• Sign in to Quo and install its app if needed for calls and texts.
The Client keeps control of their personal email and calendar accounts. LDC manages the team and workspace used to deliver the service. The Client must never send LDC passwords, email login credentials, or verification codes.
Existing phone numbers may be moved into Quo when eligible and authorized by the Client. Incoming transfers and business-texting approvals depend on the providers and cannot be guaranteed by a specific date. The Client should not cancel their existing phone service before the incoming transfer is confirmed complete. Release or transfer out of LDC's service follows the five-business-day written-request rule in Section 8, subject to provider transfer requirements.
Included edit time covers small changes such as text updates, photo replacements, pricing changes, and similar adjustments. Unused time does not roll over.
New pages, redesigns, custom integrations, or work beyond the monthly allowance require a separate written quote and approval.
The Client will identify an authorized contact who can approve content and requested changes. LDC may rely on that person's written approvals.
Questions, change requests, and cancellation requests should be sent to ldcbusinesssolutions@gmail.com.
Clients can cancel anytime. Service continues until the end of the current paid month, then stops. No partial refunds of monthly fees for the remaining days.
Service continues during the payment provider's renewal retries. If all retries fail, service is marked overdue and paused until payment is resolved.
A full refund of the initial payment or an open payment dispute places service on hold. Partial initial-payment refunds do not automatically place service on hold. Service resumes when the issue is resolved and no other hold remains.
Approved upgrades and downgrades take effect immediately with prorated billing, subject to successful payment processing. Changes to third-party access may require coordination.
The Client owns their supplied content (text, photos, logo and branding), business information, business phone number and domain. The website, templates, code and tools belong to LDC and are licensed to the Client while the subscription is active.
When service ends, the website goes offline at the end of the current paid month. On request, LDC provides a copy of the Client's supplied content (text, photos and logo) and helps move the domain.
LDC will release or transfer the Client's business phone number within 5 business days of the Client's written request, including after cancellation, subject to the phone provider's transfer requirements.
If the Client wants to keep the website itself, LDC offers to sell it at a price quoted in writing.
Cal.com, Quo, payment services, and other providers operate under their own terms. LDC does not control their outages, account restrictions, approval decisions, or message delivery.
Both parties will protect non-public business information and use it only as needed to perform this agreement.
The Client is responsible for the accuracy and legality of supplied content and for obtaining any required consent for customer calls, texts, or emails. LDC will not knowingly configure unlawful or deceptive communications.
LDC will use reasonable care in providing the agreed services. LDC does not guarantee specific revenue, search rankings, inquiry volumes, bookings, or uninterrupted third-party service.
To the extent permitted by law, each party's total liability arising from this agreement is limited to fees paid under it during the preceding three months. This limit does not apply where prohibited by law or to fraud or willful misconduct.
Changes to this agreement or the agreed service scope must be accepted by both parties in writing. Electronic signatures may be used, subject to applicable law.
By signing below, both parties agree to the selected package, fees, and terms above.
